Hardin in Johnson City, Tennessee, at ten o'clock A.M. April 13th, 1914. Present: C. C. Taylor, G. W. Hardin, J. E. Crouch, W. G. Payne, Prof. E. W. McDiarmid, S. W. Price. Prayer by Prof. McDiarmid. C. C. Taylor, President, present and presiding, when the following proceedings were had and ordered entered of record, to wit: Report of Prof. McDiarmid: A brief digest of President McDiarmid's report, which was made orally and without notice, is as follows: we have, this year, an enrollment of 161 collegiate and preparatory students in addition to such pupils as properly belong to the public school, as against 190 last year all total. Collections from students to date for the current year, about $9,000.00; balance uncollected about $3,000.00. This will leave a rather large deficit in current expense. Save Johnson City and the congregation at the College, no church in the State voluntarily observe education day. Some other congregation made small offerings; but at the personal solicitation of the president of the college or some member of the faculty. Prof. Hill voluntarily withdraws from the College Faculty with the close of the current year. He goes to prepare himself for missionary work. President McDiarmid made the following recommendations: A reduction in the number of the members of the faculty without impairing its strength and efficiency. to this end, he suggested the consolidation of the departments of Science and Mathematics and the distribution of the work of the German teacher among other members of the faculty and the abolition of the German department as a distinct department, saving one teacher. The creation of a normal department. Moved by George W. Hardin, seconded by J. E. Crouch, that the report and recommendations of the President be accepted and adopted. Move carried and it was so ordered. The following communications were read by the secretary: (1) A letter from Miss Zeranda Brents making application for position as musical directress; (2) The application of Miss Katherine Burrus for position as teacher of violin and voice; (3) The application of Mrs. Mary Love for the position of Dean of Women. On motion of S. W. Price, seconded by W. G. Payne, the communications were received and ordered filed. More definite action thereon to be deferred until an adjourned meeting of this board. Moved by W. G. Payne, seconded by George W. Hardin, that all tuition, board, room rent, be and is due, collectable, and to be collected in advance. And no student be allowed the privilege of the class and lecture rooms, dormitories, or dining hall without having made payment or definite settlement of these charges. Motion carried. Moved by George W. Hardin, seconded by J. E. Crouch, that we adjourn to meet Saturday April 18th, at 9:30 A.M. at the office of George W. Hardin at Johnson City. Motion carried and it is so ordered. Price, Secretary Minutes of May 20th, 1914 The Board of Directors of Milligan college of Tennessee convened in regular annual session of the College on this the 20th day of March, 1914, at 9:00 o'clock A.M. Present and presiding, C. C. Taylor, President, when the following proceedings were had and ordered entered of record, to wit: Roll call showed the following members present and answering: J. E. Crouch, E. W. McDiarmid, G. W. Hardin, John W. Williams, W. G. Payne, A. B. Crouch, J. N. Jessup, J. T. McKissick, W. P. Crouch, and S. W. Price. Treasurer reported in orders and figures as follows: (Copy of report not furnished secretary). The substance of the report is that building operations have been covered by contributions and notes and that loans have been procured and in shape to be carried until notes are collected. Moved by A. B. Crouch, seconded by W. G. Payne, that the report of the Treasurer be received and approved. Motion carried. President Mcdiarmid read his report and recommendations in words and figures as follows: (Copy of report not furnished secretary). The material parts of the report show amount collected on tuition and board to date $________; balance unpaid on same $_______; attendance for the year 44. President recommended that Mr. and Mrs. Hayden, Prof. Miller, Miss Hardin and Miss Ellis, of the faculty, be retained for the next year. Moved by G. W. Hardin, seconded, by J. T. McKissick that the President's report be received and adopted. Carried. Moved by A. B. Crouch, seconded by J. E. Crouch that the salary of President McKissick be fixed by a committee of three to be appointed by the chair. Motion carried. The chair appointed the following committee for this purpose: G. W. Hardin, W. G. Payne, and J. E. Crouch. The board adjourned to 2:30 o'clock same day. Board reconvened at the hour named. Same officers and members present as in the forenoon. Moved by G. W. Hardin, seconded by J. E. Crouch that a committee be appointed to draft suitable resolutions respecting the work and departure of Prof. McDiarmid and the gratuitous services of Mrs. Prof. Hayden. Motion carried. The chair appointed the following committee for this purpose: J. E. Crouch, G. W. Hardin, and S. W. Price. Moved by G. W. Hardin, seconded by J. E. Crouch, that the three Carter County members, with the President of the school, be constituted a committee to arrange with the school officials of Carter County the matter of the public school at Milligan. Motion carried. Committee: C. C. Taylor, W. G. Payne, John W. Williams, and J. T. McKissick. Moved by A. B. Crouch, seconded by W. J. Matthews, to refer the matter of the selection of the members of the faculty and the fixing of their salaries & etc., to the faculty committee in conjunction with the President of the school. Motion carried. Moved by G. W. Hardin, seconded by J. E. Crouch, that the board adjourn. Motion carried. And it was so ordered. Minutes Called Meeting--Executive Committee Executive Committee April 7th, 1915 At a called meeting of the Executive Committee or board of Control of Milligan College held at the boys dormitory of the College on April 7th, 1915, beginning at 1 o'clock P.M., present and presiding C. C. Taylor, when the following proceedings were had and ordered entered of record, to wit: Members present and answering roll call: C. C. Taylor, W. G. Payne, Dr. W. J. Matthews, G. W. Hardin, J. E. Crouch, J. W. Williams, and S. W. Price. C. C. Taylor stated that, on account of the state of his health, it would be necessary for him to be excused from the session of the committee and requested that a chairman be selected to preside in his absence. On motion of G. W. Hardin, seconded by J. W. Williams, W. G. Payne was called to the chair and presided during the remainder of the session. The call upon which the meeting was held was read in words and figures as follows: "There will be a meeting of the Board of Trustees of Milligan College, Wednesday, February 24th. We hope you may be with us as there are important matters for consideration. C. C. Taylor, President S. W. Price, Secretary We join heartily in the invitation to all the Trustees to be with us at the time named above. We are to have with us during the week, brother J. B. Briney. Jas. T. McKissick. The substance of the Treasurer's report is that the President received $1500.00 per year with house, heat, and lights, that Prof. Hayden received $1000.00 per year with two rooms; and that Miss Ellis received $600.00 per year with two rooms; and that present indications deficit in current expense account for the session of above $4000.00 Moved by S. W. Price, seconded by J. E. Crouch that Prof. J. T. McKissick be re-elected president for the next session. Motion carried. Moved by Dr. W. J. Matthews, seconded by J. E. Crouch, that the faculty committee be authorized to investigate and report upon the business management of the institution and formulate rules and regulations governing its finances. Carried. Moved by G. W. Hardin, seconded by J. W. Williams, that the faculty committee, acting with the President, that hereafter ministerial students and children of ministers be charged one-half the regular tuition rates in the academic and college courses and full rates on board, music, and other special courses. And that publication of this rule be made in the catalogue. Motion carried. On motion the committee adjourned. 18 May 1915 The Executive Committee of the Board or the Board of Control of Milligan College of Tennessee met in regular session at the College on Tuesday after-noon, at 2:30 o'clock, May 18th, 1915. Present and presiding, C. C. Taylor, President, when the following proceedings were had an ordered of record, to wit: Roll call showed the following members present and answering: C. C. Taylor, G. W. Hardin, Dr. W. J. Matthews, J. E. Crouch, and S. W. Price. Minutes of the previous meeting read. Moved by J. E. Crouch, seconded by G. W. Hardin, that the Minutes of previous meeting be approved and adopted as read. The meeting was, then addressed at length by Bro. J. Lem Keevil and by Bro. Duncan in behalf of Prof. J. T. McKissick, and again the adoption of the minutes. Dr. Matthews, G. W. hardin, and S. W. Price spoke in favor of the adoption of the minutes as read. Motion carried and the minutes were adopted as read. On motion of S. W. Price, seconded by J. E. Couch, a committee of three was appointed, to wit: G. W. Hardin, J. E. Crouch, and Dr. W. J. Matthews, to confer with Prof. J. Hopwood with respect to tendering him the presidency of the college. Moved by G. W. Hardin, seconded by Dr. W. J. Matthews, that the meeting adjourn. Carried. C. C. Price, Secretary Minutes of a Called Meeting of the Executive Committee May 29th 1915 At a called meeting of the Executive Committee of the College Board of Directors of Milligan College of Tennessee, held at eh office of Vines & Price, in Johnson City, Tennessee, at 3:00 o'clock, P.M. Saturday, May 29th, 1915, C. C. Taylor, president, present and presiding, the following proceedings were had and ordered of record to wit: Roll call showed members present and answering as follows: C. C. Taylor, G. W. Hardin, J. E. Crouch, A. B. Crouch, Dr. W. J. Matthews, J. W. Williams, and S. W. Price. The president directed the secretary to read the call of the meeting, which was done in words and figures as follows: Original call attached and marked exhibit "A" and made a part of the minutes as fully as if copied at length herein) By direction of the president, the secretary then read a letter of Prof. McKissick to the Committee under date of May 27th, 1915, in words and figures as follows: (The original letter is hereto attached and filed and marked and made exhibit "B" to these minutes as fully as if copied at length herein). by direction of the president, G. W. Hardin read a letter from Prof. J. Hopwood directed to him and to the committee under date of ______. (This letter not turned over to the secretary and he has no copy for the minutes). Moved by J. W. Williams, seconded by J. E. Crouch, G. W. Hardin, and S. W. Price, "That, in order to a prompt, speedy, and complete adjustment of the matters in controversy, the following conditional order be made: (I) Prof. J. T. McKissick is elected to the presidency of the college for the current school year, with duties activities, and authority confined exclusively to the field in the raising of funds and the soliciting of patronage; (2) Prof. Josephus Hopwood is associated with him as Dean or Chancellor in full and exclusive management and control of the polity, government, and discipline of the school. These two propositions to be conditioned one upon the other. If the two propositions are not acceptable to, and shall not have been accepted by, both Prof. McKissick and Prof. Hopwood within the next ten days from this date (May 29th, 1915), then, and in that event this order shall, automatically, become and be vacated and void; otherwise to be and remain in full force and effect." Carried by unanimous vote and it is so ordered. The president directed the secretary to notify Prof. McKissick and G. W. Hardin to notify Prof. Hopwood of the motion of the committee. McKissick, Hardin, and Committee:- If you brothers have not yet found a way of co-operation on the Milligan College question, and you both and all feel that Mrs. H. and I could, by our union of service with all of you, bring better and greater results to the life of the school, we are now willing to consider the question of uniting our labors with yours. If Bro. McKissick and the Committee will give joint expression of desire we will come at once and seek hastily with you to reach an agreement just to all. If you have already found a working plan without us, we will not be in the least inconvenienced or disappointed, but will rejoice with you and enter on other plans open and urgent before us. Hopwood MINUTES OF AN ADJOURNED MEETING OF THE EXECUTIVE COMMITTEE. JUNE 9TH, 1916. At an adjourned meeting of the Executive Committee of the board of Directors of Milligan College, Tennessee, held at the office of Vines and Price in Johnson City, Tennessee, at nine o'clock, A.M., on the 9th day of June, 1915, C. C. Taylor, President, present and presiding the following proceedings were had and ordered entered of record: The roll call showed members present and answering as follows: C. C. Taylor, S. W. Price, J. E. Crouch, A. B. Crouch, Dr. W. J. Matthews, J. W. Williams, Bro. Coke and S. W. Price. Minutes of previous meeting read and approved. Prof. J. T. McKissick appeared before the committee and announced in open meeting that he would not accept the proposition made tendering him the presidency of the college under the terms and conditions stipulated in the order of the previous session and denounced the action of the board in tendering him the presidency with such restriction as unchristian and stated that he would have noting further to do with it that the board might not consider him further as an applicant for the position. A. B. Crouch tendered his resignation as a member of the committee and as one of the board of directors to take effect immediately. After an attempt by all of the members present to deswade Mr. Crouch from this step and he having stated that on account of the increasing pressure of business obligations upon his time that he had no opportunity to give the place the attention it required and that he must insist upon the acceptance of his resignation. J. W. Williams moved and Dr. W. J. Matthews seconded that the resignation be accepted. Motion carried and it was so ordered. On motion of J. E. Crouch, seconded by Geo. W. Hardin, the committee adjourned to meet at the Christian Church at Elizabethton at seven o'clock P. M., June 10th. Carried. C. C. Taylor, President S. W. Price, Secretary MINUTES OF AN ADJOURNED MEETING OF THE EXECUTIVE COMMITTEE June 10th, 1915 At an adjourned meeting of the Executive Committee of the board of directors of Milligan College of Tennessee, held in the parlors of the Christian Church at Elizabethton, Tennessee, on the 10th day of June, 1915, at seven o'clock P.M., according to adjournment, C. C. Taylor, President, present and presiding, the following proceedings were had and ordered entered or record, to- wit: Roll call showed members present and answering as follows: C. C. Taylor, G. W. Hardin, J. E. Crouch, Dr. W. J. Matthews, J. W. Williams, and S. W. Price. G. W. Hardin read a letter from Prof. Hopwood suggesting that he would accept the presidency of the college if he received the unanimous call of the board. Moved by Geo. W. Hardin, seconded by J. E. Crouch, that Prof. Hopwood be, and hereby is, tendered the presidency and leadership of the college; and the entire committee, hereby, collectively and individually, personally and officially, most earnestly request his acceptance thereof. Motion carried by the affirmative vote of the entire committee. Moved by J. W. Williams, seconded by Dr. W. J. Matthews, that the secretary of the committee be, and hereby is, authorized, empowered, and directed to communicate to Prof. Hopwood the action of the committee in the foregoing call immediately and urge his acceptance thereof. Motion carried by affirmative vote of the entire committee. In obedience to the foregoing motion the secretary wrote a letter to Prof. Hopwood under date of June 11th, 1915, a copy of which is marked and made Exhibit "A" and attached hereto. On motion of J. Hopwood be, and hereby is, tendered the presidency and leadership of the College; and that the entire committee, hereby, collectively and individually, personally and officially, most earnestly request his acceptance thereof." Matthews, that the Secretary of the Committee be, and hereby is, authorized, empowered, and directed to communicate to Prof. Hopwood the action of the Committee in the foregoing call immediately and urge his acceptance thereof." W. Hardin at Johnson City, Tennessee, at nine o'clock A.M., on the 1st day of September, 1915, C. C. Taylor, President, present and presiding, the following proceedings were had and ordered entered of record, to wit: The roll call showed the following members present and answering: C. C. Taylor, G. W. Hardin, J. W. Williams, Geo. T. Williams, Dr. W. J. Matthews, W. G. Payne, J. E. Crouch, S. W. Price. Prof. J. Hopwood, President of the college was also present. Moved by G. W. Hardin, seconded by J. W. Williams, that a committee of three be appointed to audit the books of the Treasurer of the corporation, especially, with respect to the real estate transactions and particularly with respect to the purchase of what is known as the Anderson farm and mill and report thereon. Motion carried. The chair appointed as such committee, S. W. Price, Dr. W. J. Matthews, and J. E. Crouch. Prof. Hopwood reported that he had taken charge of the college and was making such repairs and improvements as was absolutely necessary, keeping a full and complete account of the expenses thereof and such expenditures as were not authorized by the committee or above which he had any doubt of his authority to make, he was paying himself personally. Price, Secretary 30 Sep 1915 Regular meeting of the Board of Directors of Milligan College of Tennessee held in the parlors of the Christian Church at Marion City, Tennessee on Thursday, Sept. 30th, 1915. The president and the vice-president being absent, the meeting was called to order by the Secretary and Dr. W. J. Matthews was elected temporary chairman and the following proceedings had and ordered of record, to wit: The roll called showed the follow ing members present and answering: J. E. Crouch, Geo. W. Hardin, Dr. W. J. Matthews, Shornhost, Sheffer, A. Myhr, Hopwood, J. A. Campbell. Moved by Bro. Shornhost, seconded by Bro. Sheffer, that the reading of the minutes of the previous meetings be dispersed with. Bro. Shornhost called attention to the fact that notices had not been given in time for attendance at meetings of the Executive Committee. Prof. Hopwood suggested that the Secretary notify each member of the Board of each annual meeting. Moved by Geo. W. Hardin, seconded by J. E. Crouch, that C. C. Taylor, Dr. W. J. Matthews, and S. W. Price be elected President, Vice-President, and Secretary, respectively, of the Board of Directors. Moved by R. Myhr, seconded by Bro. Sheffer, that the Sec. report to the executive Board a copy of the Auditing Co. Moved by Myhr, seconded by J. E. Crouch, that the present Executive Committee with Bro. Shornhost added be continued.
