WILL OF ABEL IMRI WEBB


STATE OF TENNESSEE  LAUDERDALE COUNTY  IN THE NAME OF GOD,AMEN; I, ABEL IMRI
WEBB,of Lauderdale County,Tennessee,being of sound and disposing memory,do
hereby make and publish this as my last will and testament,revoking any and all
wills heretofore made by me.

1. I appoint my sons,HARRY WEBB and AVERY WEBB,as co-executors of my estate and
waive the necessity of their giving bond.

2. I first desire that all my just debts,funeral expenses and administration
expenses be paid out of my estate.

3. I give ,devise and bequeath to my sons,HARRY WEBB and AVERY WEBB the sum of
$100.00 each, to be paid to them over and above any other bequests made in this
last will and testament.

4. I give,devise and bequeath all the balance of my estate,both real and
personal,to my five children HARRY WEBB, AVERY WEBB, ISIAH WEBB, KENNETH
W.WEBB,and BERTHA WEBB HELTON,in equal shares,to be divided among them
equally,with the provision that all real estate owned by me at my death shall
within one year be sold by my heirs,either privately or publicaly.If the heirs
cannot agree on a sales price for this real estate,then the executors of my
estate shall be authorized to advertise and sell said land at public auction in
Lauderdale County,Tennessee,with the proceeds of said sale to become a part of
my estate.The proceeds of any sale of my property shall be used to make any and
all bequests in this will.

5. If HARRY WEBB,AVERY WEBB or ISIAH WEBB should die before I do,then their
shares of this estate shall go to their children in equal shares. If KENNETH
W.WEBB or BERTHA WEBB HELTON should die before I do,then their shares,or either
of them,shall go in equal shares to my other children then living. If KENNETH
W.WEBB should have any children born to him before my death,or in being at my
death,and he should die before I do,then I desire that his share of my estate
shall go to his children.

6. All personal property in my estate,if it cannot be divided equally among my
heirs,shall be sold at public auction,with the proceeds to be used as part of my
estate.

testament in our presence,and we,at his request and in his presence and in the
presence of each other have signed as attesting witnesses on this January
