Waco, Ennis Written: December 28, 1921 State of Texas County of Ellis This Agreement made by and between Mrs. W.C. Shaw, Ennis, Texas hereinafter called party of the first part and Mr. Ruffian [Ruffin] of Ennis, Texas, hereinafter called party of the second part, witnesseth: First: The said party of the first part, for the consideration hereinafter mentioned, hereby sells and agrees to convey by good and sufficient general Warranty Deed unto said party of the second part the following described land situated in Ennis, Ellis Co. All that part or parcel of land located at No. 210 on the north side of West Waco St in the city of Ennis as per map of the City of Ennis, Texas. Second: Said party of the first part further agree to furnish the party of the second part a complete abstract of the title to said land certified by one competent abstracter, within a reasonable time and not later than 20th day of Mar 1922. And the said party of the second part agrees to report in writing his objections to the defects in said title, if any, within 5 days thereafter, and said party of the first part shall have a reasonable time thereafter to cure such defects and remove such objections. Third: As a consideration for said land party of the second part agrees and binds himself to pay party of the first part the sum of 1750.00 in the following manner , vis: $500.00 in cash and the remaining in Vendor's Lien notes on said land to be executed by said second party as follows: $25 per month this to include Interest at the rate of 8% and the payments due on the first day of each month beginning april 1st 1922 and the not made on or before. Deed to have Insurance clause and Attorney fee clause inserted in same. All notes to draw interest at the rate of 8% per annum from date and on those running longer than one year interest to be paid monthly and with the usual attorney fee and maturity clauses and to be payable at Citizen National Bank, Ennis, Texas. Fourth: This contractg shall be consummated and all things done and performed upon the part of each party on or before the 31 day of Mar 1922. Fifth: To insure the faithful performance of his part of this contract, the party of the first part deposits with W.E. Shipp [Insurance Agent] the sum of 100.00 with the following understanding: After the title to the said land has been pronounced good by the attorney of the second party, if the party of the first part shall fail or refuse to comply with his part of the contract then the said sum of money shall be paid over by the said Ruffian to the said party of the second part and forfeited to him as liquidated damages for non-performance. Sixth: To insure the faithful performance of his part of this contract, the party of the second part deposits with W.E. Shipp the sum of 100.00 with the following understanding: If the title to the said proves good and he complies with his part of the contract, said money shall be applied as part cash payment. But if said party of the second part shall fail or refuse to comply with his part of said agreement (provided the title to said land proves to be good) then the said money shall be paid over by the said Mrs. W.C. Shaw the said party of the first part, and forfeited to him as liquidated damages for non-performance. Seventh: This agreement shall extend to and be binding upon the heirs and legal representatives of each of the parties hereto. Eight: This agreement is made upon the condition that the title to said land shall be marketable, and case there shall be any incurable vital defect in said title, then this agreement shall be null and void, and the money deposted as above shall be refunded to the different parties depositing same and this whole agreement cancelled. Shipp Agent, Ennis Texas This article of Agreement attached to and is made apart of this contract it is fully understood and agreed that Mr. Ruffian the man now occupying the building covered in this contract is to remain in the house at the same rate of rent per month due as hereto fore and payable to the part of the first part in this contract, until this party of the first part can clear the Title to the said property if same can be cleared in the March term of Court at which time application will be made for the Court to clear the Title of same and this deal will be finally closed. Jany, Feby and March rents of 1922 to apply on purchase price of place and the expense of back fence and Electric Lights to apply if title is not made after April 1st 1922. Mrs. W.C.
