                                  ORDER

     On the 30th day of July, 1996 and on the 10 day of September, 1996, the 
above entitled cause came on to be heard.   Plaintiff, BLUEWATER CEMETERY 
ASSOCIATION, IN.,  appeard by and through its representatives and its attorney.   
Defendants, DOVIE KNIGHT and BLUEWATER CEMETERY ASSOCIATION, AN UNINCORPORATED 
ASSOCIATION, appeared in person and by and through its representatives and 
attorney.   The parties announced to the Court that an agreement had been 
reached which was presented to the Court and approved.   The parties announced 
that they had agreed to the appointment of three trustees, one to represent 
Plaintiff, one to representative Defendants and one to be neutral and that the 
three trustees were to receive all money on hand and hereafter receive for the 
care and maintenance of the cemetery as well as taking custody of the cemetery.   
Plaintiff designated Gloria Richardson as its trustee with Helen Sumrall as her 
substitute and successor; Defendants appointed Dovie Knight as its 
representative to serve as trustee with Linda Beavers, as her substitute and 
successor.   The parties then designated Raymond Knight to be the neutral 
trustee that.
     It is therefore ORDERED that Dovie Knight, Gloria Richardson and Raymond 
Knight are hereby designated and appointed as Trustees for the Bluewater 
Cemetery as described on Exhibit "A" attached to this Order and incorporated 
into it by reference and they are charged and directed to take custody of the 
cemetery and the funds now on hand which Plaintiff and Defendants have received 
for the care and maintenance of the cemetery which are on hand and which are 
hereafter received by either Plaintiff or Defendants or anyone acting for or on 
behalf of any of them.   It is further ORDERED that the signature of two of the 
three trustees shall be required to disburse any of the money which will only 
be spent for the care, maintenance, preservation and development of the 
cemetery.   It is further  ORDERED that Linda Beavers is the substitute trustee 
for Dovie Knight and that Helen Sumrall is the substitute trustee for Gloria 
Richardson should the forenamed trustees be unable or unwilling for any reason 
to serve.
     It is further ORDERED that the trustees, Dovie Knight, Gloria Richardson 
and Raymond Knight shall prepare and present to this court on or before 
December 16, 1996, a report proposing rules and regulations for the use of 
Bluewater Cemetery in order to provide for the orderly use and maintenance of 
it in the future.

     It is further ORDERED that both Plaintiff and Defendants deliver to the 
trustees all money which they received for the care and maintenance of the 
cemetery and that all money received hereafter for the care and maintenance of 
the cemetery shall likewise be immediately turned over and delivered to the 
trustees.
