WILL OF WALTER J. HOLLADAY, SR. [underlined] 

     I, Walter J. Holladay, Sr., of Isle of Wight County, Virginia, being of 
sound and disposing mind, do hereby make, publish and declare this to be my 
last will and testament, hereby revoking all wills by me at any time 
heretofore made: 
     FIRST:  I desire and direct that all of my just debts be paid, if I shall 
owe any at my death. If I shall not have sufficient money at the time of my 
death to pay my debts, I direct that so much of my personal property as may be 
necessary be converted into cash for the payment of the same, and that none of 
my real estate be sold for this purpose, unless my personal estate shall not 
be sufficient to pay my said debts. 
     SECOND:  I give, devise, and bequeath unto my wife, Betty M. Holladay, 
for and during the term of her natural life, all of my property, real, 
personal and mixed, it being my intention that she shall have a life estate 
therein. 
     THIRD:  Upon the death of my wife, Betty M. Holladay, I give, devise, and 
bequeath all of my said property, absolutely and in fee simple, to my three 
children, Walter J. Holladay, Jr., Carlton E. Holladay and Edward N. Holladay, 
in equal portions. 
     FOURTH:  I hereby nominate and appoint my son, Carlton E. Holladay, of 
Wakefield, Sussex County, Virginia, executor of this my last will and 
testament with full power and authority to execute the same according to its 
true and intended meaning, and having perfect confidence in his judgment and 
integrity, I direct that the said executor shall not give security. 
     Given under my hand and seal this 5th day of September, 1941.

     The above signature of the testator was made and the foregoing will was 
acknowledged to be his last will and testament by the said testator, in the 
presence of us, two competent witnesses, present at the same time; and we, the 
said witnesses, do hereunto subscribe the said will on the date last above 
written, in the presence of the said testator, and of each other, at the 
request of the said testator, who was then of sound mind and over the age of 
twenty-one years.

VIRGINIA: IN THE CLERK'S OFFICE OF THE CIRCUIT COURT OF 
THE COUNTY OF ISLE OF WIGHT, MARCH 3, 1948. 

     A paper writing purporting to be the last will and testament of Walter J. 
Holladay, Sr., was this day presented for probate by the Executor therein 
named and was proved by the oath of R. B. McEwen, one of the subscribing 
witnesses thereto and in the manner prescribed by law; thereupon the said 
paper writing was ordered to be recorded as the true last will and testament 
of the said Walter J. Holladay, Sr., deceased.
